GOODSPLANE REFERRAL PROGRAM – TERMS AND CONDITIONS & PRIVACY DISCLOSURE

This Referral Program Terms and Conditions together with the Privacy Disclosure (collectively referred to as “Agreement”) governs participation in the referral program (“Referral Program”) operated by Spabi Exim (OPC) Private Limited, operating under the brand name GoodsPlane, having its registered office at Unit no A/618, 6th Floor, Silver Springs Plot Number G-6, Taloja MIDC Road, Panvel, Navi Mumbai, Raigarh, MH 410208, India (“Company”, “we”, “our”, or “us”).

By accessing, participating in, or continuing to use the Referral Program, the user (“User”, “Referrer”, “Referred User”, or “you”) agrees to be bound by this Agreement.

1. DEFINITIONS

For the purpose of this Agreement:

1.1 Platform means any website, mobile application, interface, software, or digital system owned or operated by the Company under the GoodsPlane brand.

1.2 Referral Program means the promotional program through which existing Users may introduce new Users to the Platform using a referral code or link.

1.3 Referrer means any registered User who participates in the Referral Program by sharing a referral code or link.

1.4 Referred User means an individual who signs up on the Platform using a valid referral code or link associated with a Referrer.

1.5 Rewards means all credits, coupons, benefits, discounts, incentives, or promotional assets provided under the Referral Program.

1.6 Qualifying Action means the minimum required activity (such as new account creation, completion of KYC, a purchase of minimum value, or any other condition determined by the Company) necessary for rewards to be issued.

1.7 Personal Data means any information relating to an identified or identifiable individual collected under the Referral Program, as defined under the Information Technology Act, 2000 and the applicable data protection rules.

2. ACCEPTANCE AND SCOPE

2.1 Participation in the Referral Program constitutes full acceptance of this Agreement.

2.2 This Agreement is an electronic record under the Information Technology Act, 2000 and requires no physical or digital signature.

2.3 If you do not agree with any part of this Agreement, you must immediately stop participating in the Referral Program.

2.4 This Agreement applies in addition to the general Terms of Use and Privacy Policy available on the Platform. In case of conflict, this Agreement prevails for matters related specifically to the Referral Program.

3. ELIGIBILITY

3.1 To participate as a Referrer or Referred User, the User must:

  • Be at least 18 years of age;
  • Hold a valid and active Goods Plane account;
  • Provide accurate and updated contact information;
  • Not be suspended, restricted, or prohibited from using the Platform.

3.2 The Company may reject participation if it reasonably suspects fraud, policy violations, or misuse of the Referral Program.

4. REFERRAL PROGRAM OPERATION

4.1 The Company will provide each Referrer with a unique referral code or link.

4.2 A Referred User must sign up or perform the Qualifying Action using the Referrer’s code or link for the referral to be valid.

4.3 The Company reserves the exclusive right to:

  • Define the Qualifying Action;
  • Modify the conditions at any time;
  • Determine which referrals are valid;
  • Audit or verify any referral activity.

4.4 Referrals generated through unauthorized, deceptive, or manipulative practices will be invalidated.

5. REWARD STRUCTURE

5.1 Rewards will be issued only when the Referred User completes the Qualifying Action in accordance with the active campaign rules.

5.2 Rewards may be delivered as:

  • Platform credits,
  • Discount vouchers,
  • Wallet balance,
  • Non-cash incentives, or
  • Any promotional asset defined by the Company.

5.3 Rewards cannot be transferred, redeemed for cash, exchanged, or sold unless expressly permitted by the Company.

5.4 The Company may set validity periods for rewards. Expired rewards will not be reinstated.

5.5 If a Referrer or Referred User violates this Agreement, the Company may freeze or revoke rewards without notice.

6. RESTRICTIONS AND PROHIBITED CONDUCT

Users agree not to:

6.1 Create multiple, fake, or impersonated accounts for referral benefits.

6.2 Use paid advertising, spam, bulk messaging, misleading statements, or deceptive practices to acquire referrals.

6.3 Misrepresent the Company, its products, offers, or the Referral Program itself.

6.4 Post referral codes in prohibited or unauthorized locations, including:

  • Comments sections of unrelated content,
  • Website reviews,
  • Coupon aggregation platforms (unless explicitly approved),
  • Locations where posting promotional content violates terms.

6.5 Interfere with Platform security, manipulate tracking systems, or exploit program vulnerabilities.

7. ACCOUNT SUSPENSION AND TERMINATION

7.1 The Company may suspend, restrict, or terminate a User’s participation in the Referral Program if:

  • Fraudulent activity is detected;
  • The User violates this Agreement;
  • The User misuses rewards;
  • The User’s account is otherwise flagged for policy violations.

7.2 The Company’s decisions regarding suspension, eligibility, or reward issuance are final and binding.

8. MODIFICATION, SUSPENSION, AND DISCONTINUATION

8.1 The Company may revise, suspend, or permanently discontinue the Referral Program at its sole discretion.

8.2 The Company may modify reward structures, eligibility requirements, or Qualifying Actions at any time.

8.3 Changes take effect upon publication on the Platform. Continued participation constitutes acceptance of the revised terms.

9. DISCLAIMER OF WARRANTIES

9.1 The Referral Program is provided on an “as is” and “as available” basis.

9.2 The Company does not guarantee:

  • Availability of the Referral Program at all times;
  • Uninterrupted technical operation;
  • Accuracy of tracking or reward issuance in every circumstance.

9.3 The Company shall not be liable for delays, failures, loss of data, or technical issues beyond its reasonable control.

10. LIMITATION OF LIABILITY

10.1 To the maximum extent permitted by law, the Company shall not be liable for:

  • Loss of rewards, data, or earnings;
  • Indirect, incidental, or consequential damages;
  • Losses arising from misuse of referral codes;
  • Financial or reputational losses linked to participation in the Referral Program.

10.2 The Company’s total aggregate liability will not exceed the value of rewards associated with the specific disputed referral.

11. PRIVACY DISCLOSURE FOR REFERRAL PROGRAM

11.1 Data Collected
The Company may collect and process the following data for administration of the Referral Program:

  • User name, phone number, email address;
  • Device information and IP;
  • Referral code usage;
  • Transaction and reward data;
  • Activity logs related to referrals.

11.2 Purpose of Processing
Personal Data collected under the Referral Program may be used for:

  • Verifying referral authenticity;
  • Issuing rewards;
  • Preventing fraud and abuse;
  • Fulfilling legal obligations;
  • Improving program functionality.

11.3 Legal Basis
Personal Data is processed under:

  • User consent;
  • Performance of a contractual obligation;
  • Legitimate business interest in operating a promotional program;
  • Compliance with applicable laws.

11.4 Data Sharing
The Company may share Personal Data with:

  • Service providers operating payment, analytics, marketing, or authentication systems;
  • Regulatory authorities if required by law;
  • Group companies for operational purposes.

11.5 Data Retention
Personal Data will be retained for the duration necessary to fulfill Referral Program obligations and for any additional period required by law.

11.6 User Responsibilities
Users must ensure the accuracy of all data submitted and must not share third-party data without lawful authorization.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 This Agreement is governed by the laws of India.

12.2 Any disputes shall fall under the exclusive jurisdiction of courts located in Mumbai, Maharashtra.
